1. Acceptance of Terms 1. קבלת התנאים

By accessing, downloading, installing, or using the Mugah software application and any related services (collectively, the "Service"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not access or use the Service. 2. Description of Service 2. תיאור השירות

Mugah is an AI-powered Microsoft Word add-in that provides automated proofreading, source citation verification, Torah text search, bibliography generation, and related editing services for Hebrew Torah documents. The Service utilizes third-party artificial intelligence models and the Sefaria database to deliver its functionality. The Service is provided "as available" and its AI-generated outputs are intended as editorial suggestions, not as authoritative rulings or definitive textual determinations. מוגה הוא תוסף מבוסס בינה מלאכותית ל-Microsoft Word המספק שירותי הגהה אוטומטית, אימות מראי מקומות, חיפוש מקורות תורניים, יצירת מפתח מקורות ושירותי עריכה נלווים למסמכים תורניים בעברית. השירות מבוסס על מודלים של בינה מלאכותית מצד שלישי ועל מאגר ספריא. השירות ניתן "כפי שהוא" ותוצרי הבינה המלאכותית נועדו כהצעות עריכה בלבד, ולא כפסיקות סמכותיות או קביעות טקסטואליות מוחלטות.

3. Eligibility 3. כשירות

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. To access certain features of the Service, you must create an account and provide accurate, complete, and current information. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. 5. Credit Packs and Pricing 5. חבילות נקודות ותמחור

The Service operates on a pay-as-you-go credit system. Credits are purchased in one-time packs and do not expire. The following credit packs are available: השירות פועל על בסיס נקודות (קרדיטים) לפי שימוש. נקודות נרכשות בחבילות חד-פעמיות ואינן פגות. חבילות הנקודות הזמינות:

New users receive 200 complimentary credits upon registration. All features are available to any user with a positive credit balance. Prices are stated in Israeli New Shekels (₪) and are inclusive of applicable taxes unless otherwise stated. We reserve the right to modify pricing at any time without prior notice. 6. Credits and Usage 6. קרדיטים ושימוש

Each operation within the Service consumes credits from your balance. The number of credits consumed per operation varies based on multiple factors, including but not limited to: (a) the length and complexity of the submitted text; (b) the type of operation performed (proofreading, source search, source verification, document review, bibliography generation, or source integration); and (c) the computational resources required by the underlying AI models. As a general indication, typical single operations may range from approximately 3 to 10 credits, however, longer or more complex requests may consume substantially more credits. These figures are approximate; actual credit consumption may differ. Purchased credits do not expire and have no cash value. 7. Billing and Payment 7. חיוב ותשלום

All credit pack purchases are processed through our authorized merchant of record, Paddle. Each purchase is a one-time transaction — there are no recurring charges or subscriptions. All rights, title, and interest in and to the Service, including but not limited to software, algorithms, user interface design, trademarks, and documentation, are and shall remain the exclusive property of Mugah and its licensors. You retain all ownership rights in the content of your documents. 10. Acceptable Use 10. שימוש מקובל

You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to reverse engineer, decompile, or disassemble any part of the Service; (c) circumvent or attempt to circumvent any usage limits, credit allocations, or access controls; (d) use automated means (bots, scrapers, etc.) to access the Service beyond its intended interface; (e) resell, sublicense, or redistribute the Service or any output thereof without prior written consent; or (f) use the Service in a manner that could damage, disable, or impair its operation. הנך מסכים/ה שלא: (א) להשתמש בשירות למטרה בלתי חוקית; (ב) לנסות לבצע הנדסה הפוכה, דה-קומפילציה או פירוק של כל חלק מהשירות; (ג) לעקוף או לנסות לעקוף מגבלות שימוש, הקצאות קרדיטים או בקרות גישה; (ד) להשתמש באמצעים אוטומטיים לגישה לשירות מעבר לממשק המיועד; (ה) למכור מחדש, להעניק רישיון משנה או להפיץ מחדש את השירות ללא הסכמה בכתב מראש; או (ו) להשתמש בשירות באופן העלול לפגוע בפעולתו.

11. Third-Party Services 11. שירותי צד שלישי

The Service relies on third-party artificial intelligence providers and the Sefaria database. We do not control these third-party services and are not responsible for their availability, accuracy, or performance. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. We do not warrant that: (a) the Service will be uninterrupted, error-free, or secure; (b) AI-generated suggestions, corrections, or source verifications will be accurate, complete, or reliable; or (c) the Service will meet your specific requirements. You acknowledge that AI-generated content may contain errors and that you bear sole responsibility for reviewing and accepting any changes to your documents. השירות מסופק על בסיס "כפי שהוא" ו"כפי שזמין", ללא אחריות מכל סוג, מפורשת או משתמעת, לרבות אחריות לסחירות, התאמה למטרה מסוימת, דיוק או אי-הפרה. איננו מתחייבים כי: (א) השירות יהיה רציף, נקי משגיאות או מאובטח; (ב) הצעות, תיקונים או אימותי מקורות שנוצרו על ידי בינה מלאכותית יהיו מדויקים, מלאים או אמינים; או (ג) השירות יעמוד בדרישותיך הספציפיות. הנך מכיר/ה בכך שתוכן שנוצר על ידי בינה מלאכותית עשוי להכיל שגיאות ושהנך נושא/ת באחריות הבלעדית לבדיקה וקבלה של כל שינוי במסמכיך.

13. Limitation of Liability 13. הגבלת חבות

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MUGAH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR DAMAGE TO DOCUMENTS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY. Our total aggregate liability for all claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim. ככל שהדבר מותר על פי הדין החל, בשום מקרה לא יהיו מוגה, נושאי משרותיה, מנהליה, עובדיה, סוכניה או מעניקי הרישיונות שלה אחראים לכל נזק עקיף, מקרי, מיוחד, תוצאתי או עונשי, לרבות אובדן נתונים, אובדן רווחים, הפסקת עסקים או נזק למסמכים. סך החבות המצטברת שלנו לכל התביעות לא יעלה על הסכום ששילמת לנו ב-12 החודשים שקדמו לאירוע.

14. Indemnification 14. שיפוי

You agree to indemnify, defend, and hold harmless Mugah and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any rights of a third party. הנך מסכים/ה לשפות, להגן ולפצות את מוגה ואת נושאי משרותיה, מנהליה, עובדיה וסוכניה מפני כל תביעה, חבות, נזק, הפסד, עלות והוצאה (לרבות שכר טרחת עורכי דין סביר) הנובעים מ: (א) שימושך בשירות; (ב) הפרת תנאים אלה על ידך; או (ג) הפרת זכויות צד שלישי על ידך.

15. Modifications to Terms 15. שינויים בתנאים

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service interface at least 30 days prior to taking effect. We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice, including but not limited to cases of violation of these Terms. Upon termination, your right to use the Service ceases immediately. 17. Governing Law and Dispute Resolution 17. דין חל ויישוב סכסוכים

These Terms shall be governed by and construed in accordance with the laws of the State of Israel. Any dispute, controversy, or claim arising out of or relating to these Terms, the Service, or the breach, termination, or validity thereof, shall be resolved exclusively through Torah arbitration (Din Torah) before a mutually agreed-upon Beit Din (rabbinical court). If the parties cannot agree on a Beit Din within thirty (30) days of written notice of the dispute, each party shall appoint one arbitrator (Dayan), and the two appointed arbitrators shall appoint a third, who shall serve as the presiding arbitrator. The Beit Din shall conduct proceedings in accordance with the Shulchan Aruch (Choshen Mishpat) and established halachic principles of monetary law. The decision of the Beit Din shall be final and binding upon both parties. Each party irrevocably waives any right to bring proceedings in any civil court of law regarding matters covered by this arbitration clause, except as necessary to enforce a ruling of the Beit Din. Both parties agree to participate in good faith in the Din Torah proceedings. תנאים אלה יחולו ויפורשו בהתאם לדיני התורה בלבד, וזאת לפי מנהג המקום וחוקי מדינת ישראל. כל מחלוקת, סכסוך או תביעה הנובעים מתנאים אלה, מהשירות, או מהפרתם, סיומם או תוקפם, יוכרעו אך ורק בדין תורה בפני בית דין על פי כללי ההלכה המקובלים בדיני ממונות. כל צד מוותר באופן בלתי חוזר על כל זכות להגיש הליכים בכל ערכאה אזרחית בנוגע לעניינים המכוסים בסעיף בוררות זה, למעט לצורך אכיפת פסק דין של בית הדין. שני הצדדים מתחייבים להשתתף בתום לב בהליכי דין התורה.

18. Heter Iska — Prevention of Ribbit (Interest Prohibition) 18. היתר עסקה — מניעת חשש איסור ריבית

All financial transactions between the parties under these Terms — including but not limited to credit pack purchases, refunds, and any other monetary transfers — shall be conducted in accordance with and subject to a Heter Iska, as set forth in the "Brit Pinchas" (ברית פנחס) formulation, which is hereby incorporated by reference into these Terms. The Heter Iska is designed to structure all payments and financial arrangements as a permissible business partnership (iska) under halachic law, thereby eliminating any concern of prohibited interest (ribbit) as defined by the Torah and rabbinical authorities (Shulchan Aruch, Yoreh De'ah, Hilchot Ribbit). By using the Service and making any payment hereunder, you acknowledge and agree that all such financial transactions are governed by the terms of the Heter Iska as referenced above. A copy of the Heter Iska is available upon request by contacting us at the email address listed below. כל העסקאות הכספיות בין הצדדים במסגרת תנאים אלה — לרבות רכישת חבילות נקודות, החזרים וכל העברה כספית אחרת — ייעשו בהתאם ובכפוף להיתר עסקה על פי נוסח "ברית פנחס". היתר העסקה נועד לעצב את כלל התשלומים וההסדרים הכספיים כשותפות עסקית (עסקא) המותרת על פי ההלכה, ובכך להסיר כל חשש לאיסור ריבית. בשימוש בשירות ובביצוע כל תשלום על פי תנאים אלה, הנך מאשר/ת ומסכים/ה כי כל העסקאות הכספיות כפופות לתנאי היתר העסקה כאמור לעיל. עותק מהיתר העסקה זמין לפי בקשה בפנייה לכתובת הדוא"ל המפורטת להלן.
